To the extent permitted by law, the Customer waives any rights that may be waived under the PPSA, including rights to receive certain notices.

Nothing in these Terms is intended to contract out of any provision of the PPSA that cannot lawfully be excluded.

22. Australian Consumer Law

Nothing in these Terms is intended to exclude, restrict or modify any rights or remedies that cannot legally be excluded, restricted or modified.

Where the Customer is a "consumer" within the meaning of the Australian Consumer Law, the applicable consumer guarantees will apply.

To the extent permitted by law, and where Telon is entitled to limit its liability for a breach of a consumer guarantee, Telon's liability may be limited to:

If the Customer defaults, Telon may, to the extent permitted by law:

  • suspend Products or Services;

  • suspend access to Software or platforms;

  • terminate the Agreement;

  • recover outstanding amounts;

  • recover Products that remain Telon's property;

  • charge reasonable recovery costs; and

  • exercise any other rights available under the Agreement or law.

26. Termination

Either party may terminate the Agreement where the other party commits a material breach and fails to remedy that breach within a reasonable period after receiving written notice.

Telon may terminate immediately where:

  • the Customer becomes insolvent;

  • the Customer engages in unlawful or fraudulent activity;

  • the Customer materially compromises the security of Telon's Technology;

  • the Customer misuses or attempts to reverse engineer Telon's Technology; or

  • termination is otherwise permitted under the applicable Agreement.

Termination does not affect any rights or obligations that accrued before termination.

Amounts owing to Telon remain payable following termination.

Any provisions that by their nature are intended to survive termination will continue, including provisions concerning payment, Intellectual Property, confidentiality, liability, data and dispute resolution.

27. Corporate Customers and Guarantees

Where the Customer is a company or other corporate entity, the person accepting the Agreement on behalf of the Customer warrants that they have authority to bind the Customer.

Where Telon requires a personal guarantee, the relevant guarantor must execute Telon's prescribed guarantee documentation.

Unless expressly stated in a signed guarantee, no individual is personally liable merely because they accept these Terms on behalf of a company.

28. Confidentiality

Each party must keep confidential information received from the other party confidential and must not disclose it except:

  • to employees, contractors or professional advisers who need to know it;

  • where required by law;

  • with the other party's consent; or

  • where disclosure is reasonably necessary to perform the Agreement.

Telon's confidential information includes non-public information relating to its Technology, pricing, product development, software, algorithms, systems, designs, commercial arrangements and business plans.

29. Privacy

The Customer acknowledges that Telon may collect, use, store and disclose personal information in accordance with Telon's Privacy Policy.

The Privacy Policy forms part of the broader framework governing Telon's handling of personal information.

Where the Customer provides Telon with personal information relating to another individual, the Customer warrants that it has authority to provide that information to Telon and that the collection and disclosure complies with applicable law.

30. Dispute Resolution

If a dispute arises out of or in connection with the Agreement, the parties will first attempt to resolve the dispute in good faith through discussion between appropriate representatives.

If the dispute has not been resolved within 10 business days after written notice of the dispute, either party may propose mediation.

Unless otherwise agreed, the mediation will take place in Melbourne, Victoria, and the mediator will be appointed by agreement between the parties or, failing agreement, by an appropriate professional mediation body.

Each party will bear its own costs and the parties will share the mediator's fees equally unless otherwise agreed.

Nothing in this clause prevents either party from seeking urgent interlocutory or injunctive relief or taking action to recover undisputed amounts owing.

31. General

These Terms and the applicable Agreement constitute the entire agreement between Telon and the Customer in relation to the relevant Products and Services.

The Agreement is governed by the laws of Victoria, Australia.

The parties submit to the jurisdiction of the courts of Victoria and courts entitled to hear appeals from them.

If any provision of these Terms is found to be invalid, illegal or unenforceable, that provision will be read down to the extent necessary or severed, and the remaining provisions will continue to operate.

A failure or delay by Telon to exercise a right does not constitute a waiver of that right.

Telon may update these Terms from time to time. Updated Terms will apply to new orders and, where permitted by law, continuing Services after the updated Terms are published or otherwise notified to the Customer.
